Sell Your Grail: Terms of Service
Effective date: 2026-10-13 | Version: 2026-10-13-test1
Testing edition. Sell Your Grail is open only to invited dealers who are helping us test it. These terms are being finalized. We will update this page, and tell you, before we open to the public or start charging. Questions: support@lacatrinamarketing.com.
1. Who we are and what this covers
"We", "us" and "Sell Your Grail" mean La Catrina Marketing LLC, 117 S Lexington St, STE 100, Harrisonville, MO 64701. "You" means the dealer or business using the service, and the person who signed up for it.
These terms cover everything we offer under the Sell Your Grail name:
- The Office: private back-office software (inventory, clients, deals, invoices, documents, payments tracking, shipping tracking, channel feeds).
- The Desk: a shared sourcing tool that collects watch listings and wanted posts from dealer groups you choose to share.
- Auctions and other features we add, if and when you use them.
By creating an account or using any of it, you agree to these terms. If you do not agree, do not use it.
2. Invitation only, and your account
- Access is for approved dealers. New dealers are invited or approved by us (and, if we open self-signup, new accounts start on a limited trial), and we may approve, refuse or end any membership.
- Give us true information. Keep it current. We ask for name, address, contact and business details. We do not ask for ID uploads or tax numbers to join.
- You are responsible for everything done under your account, including by staff you add. Each person signs in with their own email and code. Do not share sign-ins.
- You must be at least 18 and able to enter a contract for your business.
- Tell us right away at support@lacatrinamarketing.com if you think someone else has got into your account. The owner account can use an authenticator app, and we strongly recommend it.
3. Your data stays yours
- Everything you put into the Office is yours: your clients, inventory, deals, invoices, documents, pictures and settings. We do not claim ownership of any of it.
- We host it and keep it private. Each dealer's Office is a separate database. Through our owner tools we can see only account-level facts (such as the dealer's name, plan, size of the account and when it was last used), not your business records. We will not look at your records except to help you at your request, to keep the service running or safe, or as the law requires.
- You can take it with you. You can export your data at any time, and we can give you a full backup file on request. When you leave, we delete your data as set out in section 13.
- A limited permission to us. You allow us to store, copy (for backups), display and process your data only as needed to run the service for you.
4. The Desk and shared posts
The Desk works because dealers share what they see in their groups. By using it:
- You choose what is shared. Only the groups you tick are passed to the Desk. Unticked groups send nothing. Linking a phone or the browser extension does not share anything by itself.
- What is shared. For each post in a ticked group: the sender's displayed name and number, the text, any picture, the group name and the time. Other approved dealers on the Desk can see those posts. Members may see them with the group name hidden.
- You must have the right to share. Only tick groups where you are allowed to share the posts, and where sharing does not break that group's rules or the rules of the app it runs on (for example WhatsApp or Telegram). That is your responsibility, not ours.
- How long we keep it. Pictures are kept for about a month and then removed. Post text, prices and sender details are kept while the Desk is in testing. We remove them when a group is removed from the Desk or when you ask. We plan to add automatic removal of old posts, and we will tell you before we do.
- Third-party apps can change. WhatsApp, Telegram and similar services can change how they work or restrict accounts. We do not control them and cannot promise a link will keep working, or that using one will not affect your account with them.
- Listings are not our statements. Posts, prices and descriptions on the Desk come from dealers. We read and label them with automated tools, which can be wrong. Check everything before you rely on it.
5. Deals are between dealers
Sell Your Grail is software and a meeting place. We are not a party to any sale, purchase, trade, consignment or auction between dealers. We do not inspect, authenticate, hold, insure, ship or pay for any watch or any money. Each deal, including who ships, who pays first and what happens if a watch is not as described, is for the two dealers to settle. If we add an auction or offers feature, the same applies unless we say otherwise in writing.
6. Using the service properly
You agree not to:
- break the law, or use the platform to handle stolen, counterfeit or misrepresented goods, or to launder money;
- post or send anything false, defamatory, infringing, or that you have no right to share;
- try to get into another dealer's data, the platform's systems or any account that is not yours, or test our security without our written permission;
- scrape the Desk, resell its content, or use it to build a competing product;
- send spam or unwanted marketing through the platform, or overload or disrupt it;
- use another person's name, logo or email address in a way that misleads people.
We may suspend or limit access to protect the platform or other members, and will tell you why where we reasonably can.
7. Email, documents and e-signatures
- You are the sender. Invoices, agreements and other messages you send through the Office are your communications with your customers. You are responsible for their content, for having a lawful reason to send them, and for your own legal and tax obligations.
- Your own email address. If you send from your own domain, you confirm you control that domain. We may stop sending if mail is abused or flagged.
- E-signatures. Signing links record who signed, when, and from where. They are a convenience tool, not legal advice. Check that they meet the rules for your documents and your location.
- Invoices and taxes. Totals, tax rates and profit figures are calculated from what you enter. You are responsible for entering correct information and for filing and paying your taxes. We are not your accountant or tax adviser.
8. Fees, trials and cancelling
- Trial and testing. While the platform is in testing there is no charge. Trials for new accounts, if offered, will be shown when you sign up.
- Paid plans. We have not started charging. If we introduce paid plans, we will tell you the price and what it includes before you are charged anything. Fees are charged in advance, may change on at least 30 days' notice before your next renewal, and are not refundable once a period has started unless the law requires it.
- Auctions and premium features. Where a premium plan is needed, the price and what it unlocks will be shown to you before you pay.
- Cancel any time from your account or by writing to us. Cancelling stops future charges. It does not refund the period already paid unless the law requires it.
- Taxes. Prices may exclude taxes where the law requires us to add them.
9. Keeping your data safe, and backups
We protect the platform with sign-in by emailed code, an optional authenticator app for owners, encrypted connections, separate databases per dealer, activity records and regular automatic backups. No online service is perfectly safe or always available. Keep your own copy of anything you cannot afford to lose, and use the export and backup tools we give you. We restore data from backups when we reasonably can, but we cannot promise that every record will always be recoverable.
10. Automated and AI tools
We use automated tools, including AI services run by other companies, to read Desk posts and pictures and to label details such as brand, reference or dial colour. Today we do not send your private Office business records to those tools, and if that changes we will tell you first. They make mistakes. Results are suggestions only.
11. Our rights and yours in the software
The platform, its design, name, logos and code belong to us or our licensors. We give you a limited, non-exclusive, non-transferable right to use it for your own business while these terms apply. You may not copy it, reverse engineer it or remove our notices, except where the law lets you. If you send us ideas or feedback, we may use them without owing you anything.
12. Changes to the service and to these terms
We improve and change the platform all the time, and may add or remove features. We may update these terms. For changes that matter, we will give you notice by email or in the product before they take effect. If you keep using the service after the effective date, you accept them. If you do not agree, you may cancel.
13. Ending the relationship
- You can stop using the service at any time and ask us to delete your data.
- We may suspend or end your access if you break these terms, put others at risk, do not pay, or if we stop offering the service. Where we can, we will give you a chance to export your data first.
- After the account ends, we delete your Office data from the live system when the account is deleted. We keep one final safety copy of a deleted account so it can be recovered if it was deleted by mistake, and we delete that copy when you ask. Other backup copies expire on their normal cycle (up to about two months). We also keep anything we must keep by law. Sections about liability, indemnity, your responsibilities and disputes continue to apply.
14. No warranties
The service is provided "as is" and "as available." To the fullest extent the law allows, we do not promise that it will be uninterrupted, error-free or fit for a particular purpose, or that any listing, label, price, calculation or third-party connection will be accurate or available.
15. Limit on our responsibility
To the fullest extent the law allows:
- we are not liable for indirect or consequential losses, lost profits, lost sales, or lost data, or for anything arising from a deal between dealers, from third-party apps or services, or from content posted by others;
- our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim (or $100 if you have paid us nothing).
Nothing in these terms limits responsibility that the law does not allow to be limited.
16. You protect us too
You agree to defend and compensate us and our team against claims, losses and costs that come from your content, your deals, your breach of these terms, your breach of someone else's rights or a law, or your use of third-party groups and services in a way they do not allow.
17. Disputes and governing law
These terms are governed by the law of State of Missouri. Disputes will be heard in Cass County, Missouri.
18. Everything else
- Whole agreement. These terms and our Privacy Policy are the full agreement about the service.
- If part is unenforceable, the rest stays in force.
- No waiver. If we do not enforce something right away, we have not given it up.
- Transfer. We may transfer these terms with the business. You may not transfer your account without our written consent.
- Sanctions and export. You confirm you are not on any government sanctions list and will not use the platform in breach of trade controls.
- Language. If these terms are translated, the English version controls if they differ.
- Notices. We may notify you by email or in the product. You can contact us at support@lacatrinamarketing.com or 117 S Lexington St, STE 100, Harrisonville, MO 64701.
